Resident Agent Services for Nevada Incorporation

The decision to incorporate online is a smart one, and Nevada incorporation can offer advantages and protections that online incorporation in other states cannot. However, whether you form a Nevada LLC or other entity, you’ll need the services of a resident agent in order to operate your business under the auspices of Nevada state law and benefit from what Nevada incorporation has to offer.

Regardless of whether you incorporate online or have a Nevada LLC or other entity already and whether we provide assistance with the online incorporation process or you decide to do it yourself, you’ll need what is known as a “resident agent” in order to enjoy legal recognition as a Nevada corporation.

Why You Need a Registered Agent

If you incorporate – online or not – in any state other than the one in which you actually reside, it is legally necessary to designate someone as the “resident agent.” This is a person who:

(A) actually resides in the state in which the corporation is chartered

(B) maintains a physical address (not a post office box)

(C) is available and can be contacted during normal business hours

The reason for “C” is because if there is a legal issue (such as a law suit), the laws of Nevada incorporation (as well as others) require that someone be physically present in order to facilitate service of process.

In addition, your registered agent receives all official communications from government agencies, such as that related to tax matters or updates in laws relating to doing business in a given state or municipality. (Incidentally, you may have heard that one of the reasons to incorporate in Nevada is the fact that Nevada has no income tax. This is true; however, it will not absolve you from paying income taxes in your own state of actual residence if your business is registered there as a “foreign,” or out-of-state entity.)
